Car Wash Partner Participation Agreement

90-Day Pilot Program

Dynamic Home Services LLC d/b/a Dynamic Home Creations (“DHC”) and the participating car-wash business (“Partner”) agree to the following terms for participation in the DHC Homeowner Rewards Network.

Pilot term 90 days from DHC activation, unless ended earlier under this Agreement.
Homeowner reward cap The lesser of (a) the cost of up to 12 months of the approved car-wash membership/service or (b) 5% of the qualifying DHC project value.
Partner commission None under the standard car-wash pilot unless a separate written addendum signed by DHC states otherwise.
Activation Enrollment alone does not make a location live. DHC must approve the partner, configure tracking, confirm reward fulfillment, and activate the location.

1. Purpose and Pilot Structure

This Agreement creates a limited, trackable local marketing and homeowner-rewards relationship. Partner provides an approved location for DHC program materials. DHC manages the remodeling relationship, tracking, homeowner follow-up, and reward administration.

The initial term is a 90-day pilot beginning on the date DHC activates the location. The parties may continue, adjust, expand, or end the relationship based on actual results. There is no minimum lead, project, revenue, or reward volume commitment.

2. Activation and Partner ID

  • Partner enrollment is an application for review, not automatic acceptance or activation.
  • DHC assigns the official Partner ID, tracking link/QR, dashboard access, reward program, and activation date.
  • Each participating location must use the Partner ID and tracking materials assigned by DHC. A location may not create, copy, transfer, or reuse another location’s QR or tracking link.
  • If Partner operates multiple locations, each location requires separate DHC approval unless DHC approves a multi-location setup in writing.

3. Homeowner Reward

3.1 Reward Amount

For an eligible homeowner, DHC may fund a car-wash reward at the participating location. The maximum reward is the lesser of:

  • the actual cost of up to twelve (12) consecutive months of the approved car-wash membership or service package at the participating location; or
  • five percent (5%) of the qualifying DHC project value.
Example: If 5% of a qualifying DHC project is $1,000 and the approved 12-month wash membership costs $650, the maximum DHC-funded reward is $650. If the approved 12-month membership costs $1,200, the maximum reward is $1,000.

3.2 Form of Reward

DHC and Partner will confirm the approved fulfillment method before launch. The reward may be provided as a prepaid membership, account credit, voucher, gift card, or another method approved by DHC and Partner. The homeowner reward is not cash payable to the homeowner unless DHC expressly agrees in writing.

3.3 Qualifying DHC Project Value

“Qualifying DHC Project Value” means the signed DHC construction contract amount that DHC designates as eligible for this program, after any non-qualifying amounts identified by DHC are excluded. DHC records control the calculation.

4. When a Homeowner Becomes Eligible

A homeowner does not earn a reward merely by scanning a QR code, submitting an inquiry, scheduling a consultation, receiving an estimate, or receiving an unsigned proposal. Unless DHC approves a different written rule for a specific promotion, eligibility requires all of the following:

  1. The homeowner is properly attributed to the participating Partner.
  2. The homeowner signs a qualifying DHC construction agreement.
  3. The required initial DHC payment or deposit is received and cleared.
  4. Any applicable cancellation or rescission period has expired.
  5. The project is not cancelled, rescinded, in material default, or otherwise disqualified before DHC approves the reward.

DHC determines the timing of reward approval and fulfillment. A reward shown as pending is not yet earned or payable.

5. Partner Compensation

Under the standard car-wash pilot, Partner does not receive a separate referral fee, commission, or percentage payment. The financial component of the pilot is DHC’s purchase or funding of eligible homeowner rewards through the participating Partner location. Any different compensation arrangement must be stated in a written addendum approved and signed by DHC before it applies.

6. Attribution and DHC System of Record

  • The preferred attribution method is the official DHC-assigned Partner QR/link or Partner ID.
  • DHC may manually correct attribution when DHC determines there is reliable documentation of a tracking error or verified partner introduction.
  • Partner should notify DHC promptly if it believes a referral is missing, preferably before the homeowner signs a DHC agreement.
  • DHC’s records are the official system of record for attribution, project status, reward eligibility, reward fulfillment, and any approved partner payment.
  • Dashboard information is informational. A dashboard entry does not by itself create a payment obligation or guarantee eligibility.

7. Display, Marketing, and Partner Responsibilities

  • Provide a small, visible, mutually approved location for the DHC display during the pilot.
  • Permit customers to see and use the approved DHC materials and QR code.
  • Designate an owner, manager, or authorized contact for setup and reward fulfillment coordination.
  • Tell DHC how the approved wash reward should be purchased, activated, credited, or redeemed at the location.
  • Use only DHC-approved program descriptions, claims, artwork, QR codes, and reward language.
  • Promptly notify DHC if the display, QR, offer, membership price, redemption process, ownership, or contact information materially changes.

Partner staff are not required to sell remodeling. Staff mention of the program may be optional unless the parties approve a different promotional arrangement in writing.

8. DHC Responsibilities

  • Provide or approve the display, brochures, QR/tracking setup, and partner-facing program materials.
  • Handle homeowner qualification, consultations, estimating, financing options when applicable, project scoping, project management, and construction.
  • Maintain program tracking and determine homeowner reward eligibility under the written program rules.
  • Coordinate approved reward funding or purchase with Partner when an eligible reward is ready to be fulfilled.
  • Provide partner reporting or dashboard visibility that DHC elects to make available.

9. Claims, Representative Authority, and No Guarantees

Partner and DHC representatives may describe only the approved program. No representative, employee, or partner may promise or alter guaranteed leads, guaranteed revenue, exclusivity, reward amounts, payout percentages, eligibility rules, or other contract terms unless DHC approves it in writing.

DHC representatives may present the program, collect enrollment information, and submit a proposed partner for review. They do not have authority to bind DHC to modified economics or negotiated terms unless DHC provides written approval.

10. Cancellations, Refunds, and Reward Status

  • If a homeowner cancels or rescinds the DHC project before the reward is approved and issued, no reward is owed.
  • If a project becomes ineligible before reward issuance because of nonpayment, material default, fraud, duplicate attribution, or another disqualifying condition, DHC may cancel the pending reward.
  • Once DHC has actually purchased or activated an approved reward, it will generally remain issued unless there is fraud, misuse, duplicate fulfillment, charge reversal, or another material program error.
  • DHC will not retroactively reduce a reward that was properly approved and already fulfilled, except to correct fraud, duplicate payment, or a material processing error.

11. Customer Data and Privacy

Partner is not required to provide its customer list to DHC. If Partner voluntarily provides customer information, Partner represents that it has the right to do so and will comply with applicable privacy and marketing laws. DHC may limit the customer information shown in the Partner Dashboard. Partner may use dashboard information only for administration of this relationship and may not sell, publish, or misuse homeowner information.

12. Brand, Materials, and Intellectual Property

DHC owns or controls its brand names, logos, artwork, program materials, QR/tracking configuration, website content, and related intellectual property. Partner receives a limited, revocable right to display approved materials solely for this program. Partner may not alter DHC materials or use DHC branding for another offer without written approval.

13. Term, Termination, and Deactivation

Either party may end the pilot or ongoing relationship at any time by written notice. DHC may immediately suspend or deactivate a Partner for misuse of DHC branding or tracking, false or unauthorized program claims, fraud, misuse of customer data, non-cooperation with reward fulfillment, or another material violation of this Agreement.

When the relationship ends, Partner will remove or stop displaying DHC program materials and cease using the assigned QR/link. DHC may archive the Partner account while preserving historical records. Rewards already approved and fulfilled remain governed by this Agreement; pending or unearned rewards may be cancelled if they no longer meet the program rules.

14. No Exclusivity

This Agreement does not give Partner exclusivity by town, ZIP code, county, territory, category, or customer group. Any exclusivity must be separately approved by DHC in a signed written addendum.

15. Independent Businesses; No Authority to Bind

DHC and Partner are independent businesses. Nothing in this Agreement creates an employment relationship, franchise, joint venture, legal partnership, fiduciary relationship, or agency. Neither party may bind the other to a contract or obligation except as expressly authorized in writing.

16. Program Changes

DHC may update program procedures, tracking methods, marketing materials, dashboard features, or prospective eligibility rules when reasonably necessary to operate the program. DHC will communicate material changes that affect Partner obligations or economics. No change will retroactively reduce a properly approved and already fulfilled homeowner reward, except to correct fraud, duplicate payment, or a material processing error.

17. General Terms

  • This Agreement, together with any signed addendum or activation schedule, is the entire agreement concerning this car-wash partner pilot and replaces prior inconsistent verbal statements about the program.
  • Any amendment to compensation, exclusivity, eligibility, or reward economics must be in writing and approved by DHC.
  • Electronic signatures and counterparts are permitted and may be treated as originals.
  • If one provision is unenforceable, the remaining provisions remain in effect to the extent permitted by law.
  • This Agreement is governed by the laws of the State of New Jersey, without regard to conflict-of-law rules.

Exhibit A – Partner Activation & Reward Setup

Maximum homeowner reward: the lesser of (1) actual cost of up to 12 months of the approved car-wash membership/service, or (2) 5% of the qualifying DHC project value. No separate Partner referral commission applies unless a signed DHC addendum states otherwise.

Acknowledgment and Signatures

By signing, each signer represents that they are authorized to sign for the named business and that they have reviewed and agree to this Agreement, including the reward formula and 90-day pilot rules.
